MAX Power Mining Secures $25 Million Strategic Investment from Eric Sprott for Natural Hydrogen Exploration

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has closed a $25 million strategic non-brokered private placement with Eric Sprott, a prominent resource investor. The financing, consisting of 12.5 million units at $2.00 per unit, each comprising one common share and one warrant exercisable at $2.75 for 24 months, strengthens the company's financial position as it pursues natural hydrogen opportunities in Saskatchewan.

The investment increases MAX Power's treasury to more than $40 million, providing substantial capital for exploration and development activities. Proceeds will fund drilling, seismic data acquisition, additional land acquisitions, and continued development of the company's proprietary AI-powered Large Earth Model Integration (MAXX LEMI) platform for natural hydrogen targeting. This technology is designed to enhance the efficiency and accuracy of identifying prospective hydrogen accumulations.

Following the transaction, Eric Sprott beneficially owns approximately 19.0% of the company's outstanding common shares on a non-diluted basis and 29.6% on a partially diluted basis, assuming exercise of all warrants. However, an agreement limits his ownership to 19.9% absent required approvals, reflecting a structured investment that supports long-term growth.

MAX Power's focus on natural hydrogen is underscored by its Lawson Discovery near Central Butte, Saskatchewan, which represents Canada's first-ever subsurface natural hydrogen system confirmed through deep drilling and validated by three independent labs. The company has built dominant district-scale land positions across Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume natural hydrogen accumulations. This strategic positioning, combined with the new capital, allows MAX Power to advance follow-up drilling and resource evaluation at the Lawson Complex.

In addition to its hydrogen projects, MAX Power holds a portfolio of critical mineral properties in the United States and Canada, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project in southeast Arizona, wholly owned by its U.S. subsidiary. The company is committed to responsible exploration and development practices that prioritize environmental stewardship, community engagement, and strong corporate governance.

The investment from Eric Sprott, a well-known figure in the resource sector, signals confidence in MAX Power's strategy and the potential of natural hydrogen as an emerging energy source. With a strengthened balance sheet, the company is well-positioned to accelerate its exploration programs and leverage its AI-driven MAXX LEMI platform to unlock value in Saskatchewan's hydrogen potential.
