MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) announced an agreement to sell its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona, to Homeland Critical Minerals Corp. The transaction, valued at approximately $1.1 million through the issuance of 11 million Homeland shares, aligns with MAX Power’s strategic shift to focus on its Natural Hydrogen initiatives.
The divestiture allows MAX Power to concentrate capital, technical expertise, and execution on the Lawson Natural Hydrogen Complex and the broader Genesis Trend in Saskatchewan. The company retains significant exposure to the Willcox Project through an equity stake representing just under 50% of Homeland’s currently outstanding shares.
“This transaction enables us to sharpen our focus on what we believe is a transformative opportunity in Natural Hydrogen while preserving upside from lithium and other critical minerals through our stake in Homeland,” said a MAX Power spokesperson.
The Willcox Playa Lithium Project, 100% owned by MAX Power’s U.S. subsidiary, was highlighted by a 2024 diamond drilling discovery. Homeland Critical Minerals will now pursue its development, while MAX Power advances its Lawson Discovery near Central Butte, Saskatchewan, which represents Canada’s first subsurface Natural Hydrogen system confirmed through deep drilling with data validated by three independent labs.
MAX Power has built dominant district-scale land positions across Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. The company also holds a portfolio of properties in the United States and Canada focused on critical minerals.
The transaction is expected to close on or about June 17, 2026, subject to customary conditions and regulatory approvals, including any required approval from the Canadian Securities Exchange.
