LifeQuest World Corp. (OTCID: LQWC) announced the completion of its acquisition of an established Pacific Northwest waste management equipment company, a move that immediately transforms the development-stage holding company into a revenue-generating environmental services platform with operations spanning multiple continents. The acquisition, structured as an all-equity transaction with no cash consideration, adds approximately $3.5 million in annual revenue and establishes a diversified platform comprising commercial waste management, equipment rental, and decentralized wastewater treatment.

The acquired business, which operates through two Oregon corporations, has served businesses, institutions, and municipalities in Oregon, Washington, Idaho, and Montana for decades. Its services include equipment sales, rentals, installation, preventive maintenance, and specialty cleaning. The addition of this entity to LifeQuest's portfolio, alongside its existing subsidiary BioPipe Global Corp., creates a holding company with a global footprint in environmental infrastructure.

Financially, the acquired business generated combined revenues of approximately $3.5 million for the fiscal year ended December 31, 2025. On a GAAP basis, it reported a net loss before income taxes of approximately $(4,400), but management emphasizes that this figure includes non-recurring, non-cash charges totaling over $215,000. Excluding these items, normalized pre-tax income was approximately $211,000, indicating underlying profitability. The business also held $581,665 in deferred revenue as of year-end 2025, providing revenue visibility for 2026. Total assets stood at approximately $1.9 million with equity of $927,000 and no long-term debt.

LifeQuest intends to engage a PCAOB-registered auditor for a consolidated audit, file a Form S-1 or Form 10 with the SEC to become a fully reporting company, seek shareholder approval for a 1-for-40 reverse stock split, and apply for listing on the OTCQB Venture Market. Management believes the revenue foundation from the acquired business is essential for these steps. "Our roadmap is clear, and this acquisition is the catalyst that makes it achievable," Khan added.
