LaFleur Minerals Secures Up to $5 Million Financing in Gold and Silver Purchase Agreement with Ocean Partners

LaFleur Minerals Inc. (CSE: LFLR) (OTCQB: LFLRF) (FSE: 3WK0) has entered a definitive gold and silver purchase agreement with Ocean Partners UK Limited, a move that secures both offtake for precious metals and a potential financing lifeline for its flagship development. The agreement covers 100% of gold and silver produced from a planned bulk sample at the company's Swanson Gold Project, which will be processed at LaFleur's wholly owned Beacon Gold Mill in Val-d'Or, Quebec. Critically, the deal includes an option for an unsecured working capital advance of up to US$5 million, available from January 1, 2027, to support mining and processing activities. The advance carries interest at three-month CME SOFR plus 7.50% and is repayable through deductions from gold and silver deliveries, with no prepayment penalties, arrangement fees, equity, or warrants. This structure matters because it provides non-dilutive capital, preserving shareholder value while funding the company's mine-to-mill strategy.

The agreement also marks a strategic pivot: following its execution, LaFleur will not proceed with its previously announced nonbinding term sheet with Trafigura Canada Limited. That decision simplifies the company's financing path and signals confidence in Ocean Partners as a counterparty. For investors, the definitive agreement de-risks the early-stage production plan by aligning offtake and financing with the same partner, reducing execution uncertainty. It also underscores LaFleur's focus on advancing the Swanson Gold Project and recommissioning the Beacon Gold Mill, which is capable of processing over 750 tonnes per day and is being considered for custom milling operations.

The Swanson Gold Project spans approximately 20,642 hectares (206 km2) in the Abitibi Greenstone Belt, one of the world's most prolific gold-producing regions. The project includes several prospects rich in gold and critical metals previously held by Monarch Mining, Abcourt Mines, and Globex Mining. LaFleur has consolidated a large land package along a major structural break that hosts the Swanson, Bartec, and Jolin gold targets, among others. The company recently released positive Preliminary Economic Assessment results for Swanson and the planned restart of the Beacon Gold Mill (refer to press release dated March 3, 2026). These studies, along with ongoing environmental and geotechnical work to support required permits, position LaFleur to potentially transition from developer to producer.

The Ocean Partners agreement is important because it addresses two critical risks for junior miners: access to capital and market access for future production. By securing a purchase agreement for 100% of the bulk sample's precious metals, LaFleur gains revenue certainty for that initial output. The optional working capital advance, available in 2027, provides flexibility to fund mining and processing without immediate equity dilution. The interest rate of SOFR plus 7.50% reflects current market conditions for such facilities, but the absence of arrangement fees, equity, or warrants makes it relatively cost-effective compared to typical streaming or royalty deals. Moreover, the repayment mechanism through delivery deductions aligns cash flow with production, reducing balance sheet strain.

For the broader Abitibi region, the agreement could stimulate activity around Val-d'Or, where several major mines and advanced projects operate, including Agnico Eagle's Canadian Malartic, Goldex, and LaRonde mines, Eldorado Gold's Lamaque Complex, and others. If LaFleur successfully recommissions the Beacon Mill and advances Swanson, it could become a new processing hub for nearby gold projects, potentially offering custom milling services.
