Helix BioPharma Shareholders Overwhelmingly Approve All Resolutions at Annual Meeting, Including Share Consolidation

Helix BioPharma Corp. (TSX: HBP, OTC: HBPCF, FRANKFURT: HBP0), a clinical-stage oncology company, announced the voting results from its Annual General and Special Meeting held on January 30, 2026. A total of 61,885,815 common shares were voted, representing 81.03% of the company's total issued and outstanding shares. Shareholders voted overwhelmingly in favor of all items of business, including the re-election of four director nominees and the appointment of auditors.

The four director nominees—Jacek Antas, Jerzy Leszczynski, Janusz Grabski, and Malgorzata Laube—were re-elected with 99.99% of votes in favor each. The resolution to appoint Clearhouse LLP as auditor until the next annual general meeting was also approved with 99.99% support. Additionally, shareholders approved an amendment to the company's articles to effect a consolidation of issued and outstanding common shares on a basis of up to five pre-consolidation shares for one post-consolidation share, with the board authorized to determine the final ratio. This consolidation, supported by 99.99% of votes, is intended to potentially enhance the company's marketability and meet listing requirements.

The high voter turnout and overwhelming approval underscore shareholder confidence in Helix BioPharma's strategic direction. The company is focused on developing novel therapies for hard-to-treat cancers, with its lead candidate L-DOS47, an antibody-enzyme conjugate targeting CEACAM6-expressing solid tumors. L-DOS47 has completed Phase Ib studies in non-small cell lung cancer, and the company is advancing novel bi-specific ADCs in discovery. Helix's pipeline aims to address urgent challenges in oncology by creating first- and best-in-class medicines.
