Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR) has entered into a definitive agreement to acquire Germany-based Vacuumschmelze GmbH & Co. KG and affiliated entities (collectively, “VAC”) from Ara Partners in a cash-and-stock transaction valued at approximately $1.9 billion. The acquisition is expected to create a fully integrated rare earth supply chain platform spanning mining, processing, metals and alloy production and permanent magnet manufacturing, strengthening Western access to critical materials used in defense, automotive, robotics, data centers and industrial applications.

VAC brings more than 100 years of advanced magnetics expertise, over 400 patents and manufacturing operations across North America, Europe and Asia, including its recently commissioned permanent magnet facility in Sumter, South Carolina. Energy Fuels said the combination, together with its planned acquisition of Australian Strategic Materials Ltd., positions the company to become one of the first Western suppliers with commercial capabilities across the rare earth value chain, from mining and separation through finished magnet production. The transaction is expected to close in early 2027, subject to regulatory approvals and customary closing conditions.

This acquisition is significant because it addresses a critical vulnerability in Western supply chains: the near-total dependence on China for rare earth elements and permanent magnets. Rare earth magnets are essential components in electric vehicles, wind turbines, military systems, and electronics. By integrating upstream mining and processing with downstream magnet manufacturing, Energy Fuels aims to provide a secure, domestically sourced alternative, reducing reliance on Chinese imports. The deal also leverages VAC’s established customer base and intellectual property, including over 400 patents, to accelerate commercial deployment.

Energy Fuels, a leading U.S. critical materials company, already operates the only fully licensed conventional uranium mill in the United States—the White Mesa Mill in Utah—where it also produces rare earth element products. The company is also developing heavy mineral sands projects in Madagascar, Brazil, and Australia. The acquisition of VAC, combined with the planned purchase of Australian Strategic Materials, creates a vertically integrated rare earth supply chain that spans from mining to finished magnets, a first for a Western company. The move aligns with U.S. government initiatives to bolster domestic critical mineral supply chains, such as the Defense Production Act and Department of Energy funding for rare earth processing.

Investors and industry observers will be watching for regulatory approvals, which are expected to take until early 2027. If completed, the combined entity could become a major player in the global rare earth magnet market, which is projected to grow significantly due to demand from electric vehicles and clean energy technologies.
