Edgewater Wireless Closes Private Placement With Strategic Investment From Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, announced today that Silicon Catalyst Angels I, LLC has made a strategic investment in the company as part of its recently completed private placement. This investment marks the second strategic semiconductor investor to back the company's Spectrum Slicing™ and PrismIQ™ roadmap, which aims to redefine Wi-Fi performance.

The investment brings more than capital to Edgewater. Silicon Catalyst Angels, established in 2019 to provide seed and Series A funding to Silicon Catalyst Portfolio Companies, includes experienced semiconductor executives and technologists. Their participation provides Edgewater with access to industry relationships and expertise crucial for silicon execution and future capital formation. This move follows Edgewater's selection as a Silicon Catalyst Portfolio Company in November 2024, which has already facilitated access to over 500 industry experts and millions of dollars in in-kind design and fabrication resources.

Edgewater's technology addresses a growing problem in Wi-Fi: congestion in dense environments. As Wi-Fi evolves toward Wi-Fi 7 and beyond, devices have access to very wide channels, often operating in congested or partially occupied spectrum. Edgewater's Spectrum Slicing™ platform enables multiple concurrent channels in a single band, delivering up to a 10x improvement in performance and 50% lower latency, even for legacy devices. This innovation is timely, as service providers and enterprises seek to improve efficiency and reduce churn in high-density settings.

Andrew Skafel, President and CEO of Edgewater, highlighted the significance of the investment: "Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution. SCA's direct investment is a validation of our novel approach and strengthens Edgewater's strategic investor base at an important point in our development."

Brian Imrie, Chairman of Edgewater, also increased his investment, demonstrating confidence in the company's technology and commercial traction. "My additional investment reflects my confidence in Edgewater's technology, team and commercial traction," Imrie stated. "The Company has built a strong foundation and is advancing toward milestones that can demonstrate the relevance of Spectrum Slicing™ across high-reliability Wi-Fi and emerging high-performance applications."

The private placement details reveal that the second tranche consisted of 4,799,666 units at a price of $0.06 per unit, raising gross proceeds of $287,979.96. Combined with the first tranche, the offering raised aggregate gross proceeds of $717,332.70. Each unit comprises one common share and one warrant, with each warrant exercisable at $0.09 for two years. The company intends to use the net proceeds for semiconductor design, engineering, and product development related to its Spectrum Slicing™ prototype, as well as general working capital.

Edgewater is advancing its PrismIQ™ platform and next-generation Spectrum Slicing™ roadmap through engineering development and prototype validation. The company expects to achieve important engineering and ecosystem milestones as it moves from validation to execution, with an initial product release planned for the first half of 2027. This strategic investment positions Edgewater to accelerate its path toward commercial engagements and partner demonstrations, potentially transforming the economics of Wi-Fi for service providers and enterprises worldwide.
