Critical Infrastructure Technologies Ltd. The acquisition, valued at AUD $5.775 million on completion with deferred payments totaling AUD $1.925 million over two years, is expected to close on or before May 31, 2026.
The target company generated AUD $7.5 million in revenue and AUD $1.9 million in EBITDA for fiscal 2025, with projections of AUD $8.6 million revenue and AUD $2.2 million EBITDA for fiscal 2026. Revenue and EBITDA are expected to double within two to three years. The acquisition provides CiTech with immediate earnings and a well-established fabrication infrastructure, including a skilled workforce.
Strategically, the deal establishes sovereign manufacturing capability in Western Australia, vertically integrating fabrication and engineering operations. This integration allows faster prototyping, production, and deployment of CiTech’s Nexus autonomous communications platforms, which serve defence, mining, and critical infrastructure customers.
