Beeline Holdings (NASDAQ: BLNE) has announced a non-binding letter of intent to acquire TYTL Corp., a move that would combine Beeline's AI-powered mortgage and title services with TYTL's blockchain-enabled residential equity infrastructure. The all-stock transaction, if completed, would allow qualified homeowners to tap into their home equity without incurring additional debt, while giving institutional investors access to real estate-backed digital securities. Management estimates an initial addressable market of approximately $1 trillion based on qualifying U.S. homeowners.
The companies have spent over a year integrating TYTL's Regulation D-compliant digital securities platform with Beeline's lending and title operations. TYTL has already completed its first blockchain-recorded residential equity transactions on homes valued at more than $1 million, and its current portfolio is valued about 26% above aggregate acquisition cost. Beeline says the combined company expects to generate higher revenue per transaction, build a treasury of real estate-backed digital assets, and create a revenue stream less dependent on interest rates.
The announcement comes as the housing market faces high interest rates, making traditional home equity loans and cash-out refinancing less attractive. By offering a solution that doesn't add debt, the combined platform could provide an alternative for homeowners. It also represents a significant step toward the tokenization of real estate, a trend gaining traction in the financial industry.
The deal is still subject to due diligence and final agreements, but if completed, it could position Beeline as a leader in the emerging space of blockchain-based home equity products. The potential $1 trillion market size underscores the scale of opportunity the companies are targeting.
