Angkor Resources Closes Sale of Evesham Oil and Gas Assets, Eliminates $3.8M Debt

Angkor Resources completed the sale of its 40% interest in Evesham oil and gas lands for $4.8 million, eliminating $3.8 million in debt and netting $1 million to focus on Cambodian energy and mineral projects.

Angkor Resources Closes Sale of Evesham Oil and Gas Assets, Eliminates $3.8M Debt

Angkor Resources Corp. (TSXV: ANK) announced the completion of all final payments and closing of the sale of its 40% participating interest in the Evesham Macklin oil and gas lands in Saskatchewan. The transaction, which received conditional approval from the TSX Venture Exchange, involved a purchase price of $4,800,000 paid by 2196231 Alberta Ltd., an arm's length party.

All payments under the Agreement of Purchase and Sale dated December 31, 2025, have been received and deposited into the Company's accounts. These include a $250,000 non-refundable deposit paid on December 19, 2025; a payment of $375,000 paid on January 30, 2026; the balance of a loan of $3,800,000 applied to the purchase price on closing; a final payment of $375,000 received on March 1, 2026; and all profit entitlements and operating and capital commitments under the Assets after October 1, 2025, which have accrued to the Purchaser.

The sale of the oil and gas assets was a strategic decision that removed $3,800,000 in debt from the Company's books and provided $1,000,000 in net proceeds. Shareholder approval for the disposition was obtained at the Annual General and Special Meeting of Shareholders held on January 29, 2026, where over 99% of the votes cast were in favour of the transaction.

As previously announced in the January 5, 2026 release, the Company's wholly-owned subsidiary, EnerCam Exploration Ltd., entered into the Agreement with the Purchaser. The closing of this sale allows Angkor Resources to redirect its efforts towards its Cambodian projects, including the Block VIII onshore oil and gas license covering approximately 4,095 square kilometres in southwest Cambodia. The company completed seismic in 2025 and has identified multiple drill targets, advancing an Environmental Impact Assessment and drilling plans for Cambodia's first onshore oil and gas exploratory wells.
